SpendWisely Terms of Service

These terms of service (the "Terms") tell you the terms on which you may access and use SpendWisely, the personal finance management service provided by Adleads Ltd through https://spendwisely.ai, https://spendwisely.co.uk, our progressive web app, and any related emails, integrations, or content (together, the "Services").

Please read these Terms carefully before you start to use the Services. By creating an account, starting a trial, or otherwise using SpendWisely, you confirm that you accept these Terms and that you agree to comply with them. If you do not agree to these Terms, you must not use the Services.

These Terms should be read alongside our Privacy Policy.

1. About SpendWisely

SpendWisely is provided by Adleads Ltd ("we", "us", or "our"), whose registered office is at Adleads Ltd C4DI 31-38 Queen Street, Hull, ENG, HU1 1UU, United Kingdom. SpendWisely is a cashflow forecasting and spend-planning tool. It is designed to help you see a forecast of your current balance based on income and outstanding commitments, including weekend and bank-holiday clearance, so you can avoid overspending money you do not actually have.

SpendWisely is not a bank, building society, payment institution, or credit provider. We do not hold your money, move funds, or connect to your bank via Open Banking. You (or the SpendWisely assistant, with your input) enter balances, income, and commitments yourself.

2. How to contact us

We may contact you using the email address on your SpendWisely account, through in-app notices, or by posting an update on the Site.

3. Eligibility and your account

You must be at least 18 years old and capable of entering a legally binding contract to use SpendWisely. You must provide accurate account details and keep them up to date.

You are responsible for keeping your login details confidential and for all activity on your account. Tell us immediately at support@spendwisely.co.uk if you think someone else has access to your SpendWisely account. We will never ask you for your password by email.

One SpendWisely account is for your personal use. You must not share, sell, or transfer your account.

4. The SpendWisely Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use SpendWisely for your personal finance planning. That may include:

  • Forecast balances from income and commitments you enter
  • Weekend and bank-holiday clearance on the next working day
  • Tracking commitments and BNPL schedules
  • Spending Impact previews, daily spend limits, and balance emails
  • Optional Slack or Notion integrations you choose to connect
  • The SpendWisely AI assistant, where enabled

Forecasts, alerts, and Spending Impact results are estimates based on information you provide. They are not a statement of your actual bank balance and may not match your bank, card issuer, or BNPL provider.

5. We do not provide financial advice

SpendWisely is a planning tool. Nothing in the Services is financial, investment, tax, accounting, or legal advice, and nothing is an offer to lend or a recommendation to spend, save, or borrow. You remain responsible for your money decisions and for checking figures against your own records.

We are not authorised by the Financial Conduct Authority to provide regulated financial advice or to operate a payment account. Using SpendWisely does not create a client, advisory, or fiduciary relationship.

6. Your content

You retain ownership of the balances, commitments, notes, and other information you enter into SpendWisely ("Your Content"). You grant us a worldwide, non-exclusive licence to host, store, process, and display Your Content solely to operate, maintain, and improve the Services, including to generate forecasts and send emails you request.

You are responsible for the accuracy of Your Content. If you enter incorrect income, commitments, or balances, SpendWisely forecasts will be wrong.

7. Subscriptions, trials, and cancellation

New SpendWisely accounts start with a 14-day free trial with full access, unless we tell you otherwise. After the trial, continued use of Premium features requires a paid subscription. Current prices are shown on the Site. Payments are processed by our payment partner, Polar.

Subscriptions renew automatically at the end of each billing period unless you cancel before renewal. You can cancel at any time from Settings → Billing in SpendWisely, or by emailing support@spendwisely.co.uk. Cancellation takes effect at the end of the current paid period. We do not generally offer refunds for unused time unless required by law, including your statutory cooling-off rights where they apply.

If a payment fails, we may suspend access to paid SpendWisely features until payment is received.

8. Acceptable use

You agree not to:

  • Use SpendWisely for any unlawful purpose
  • Attempt to gain unauthorised access to other accounts, systems, or data
  • Copy, scrape, reverse engineer, or resell the Services except as allowed by law
  • Upload malware or interfere with the operation of SpendWisely
  • Use the AI assistant to generate harmful, deceptive, or infringing content
  • Misrepresent SpendWisely forecasts as bank statements or advice

We may suspend or close your account if you breach these Terms or if we reasonably believe your use risks harm to SpendWisely, other users, or third parties.

9. Third-party services

SpendWisely may offer optional connections to third parties such as Polar (payments), Slack, Notion, and email delivery providers. Those services are governed by their own terms and privacy policies. We are not responsible for third-party sites or outages. You can disconnect integrations from your SpendWisely settings.

10. Intellectual property

We and our licensors own all rights in SpendWisely, including the name SpendWisely, software, designs, copy, and documentation. These Terms do not transfer any ownership to you. You may not use our name or branding without written permission, except to refer factually to SpendWisely.

11. Availability and changes

We aim to keep SpendWisely available but do not guarantee uninterrupted or error-free service. We may update, add, or withdraw features, including for security, legal, or operational reasons. We may also change these Terms. If a change is material, we will give reasonable notice by email or in SpendWisely. Continued use after the effective date means you accept the updated Terms.

12. Our responsibility to you

Nothing in these Terms excludes or limits liability that cannot be excluded under English law, including for death or personal injury caused by negligence, or for fraud.

SpendWisely is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we do not warrant that forecasts will be accurate, complete, or suitable for a particular purpose, or that the Services will be free of defects.

Subject to the paragraph above, we are not liable for: (a) loss of profit, business, or opportunity; (b) loss or corruption of data; (c) any decision you make based on a SpendWisely forecast or alert; or (d) indirect or consequential loss. Our total liability to you in connection with SpendWisely in any 12-month period is limited to the greater of £50 or the subscription fees you paid us for SpendWisely in that period.

If you use SpendWisely as a consumer, you have statutory rights that these Terms do not affect.

13. Network and device failures

You are responsible for your device, browser, and internet connection. We are not responsible for loss caused by network failure, device issues, or your failure to keep the SpendWisely app or browser up to date.

14. Ending these Terms

You may stop using SpendWisely and close your account at any time. We may end or suspend the Services or your account on reasonable notice, or immediately if you seriously breach these Terms. After closure, we may delete Your Content in line with our Privacy Policy, except where we must retain information by law.

15. Complaints

If you have a complaint about SpendWisely, email support@spendwisely.co.uk. We will look into it and reply as soon as we reasonably can. This does not affect your right to bring a claim in the courts of England and Wales.

16. Legal stuff

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer living elsewhere in the UK you may also bring proceedings in your local courts.

If a court finds any part of these Terms unenforceable, the rest still applies. You may not assign these Terms without our consent. We may assign them to another company in connection with a reorganisation or sale of SpendWisely. A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999.

These Terms and the Privacy Policy are the entire agreement between you and Adleads Ltd for your use of SpendWisely.
